You may not use, reproduce, or distribute any content without our prior written permission. Custom work created for clients will be governed by individual service agreements.
Payment terms for our services will be specified in individual service agreements. Unless otherwise agreed, invoices are due within 30 days of issuance. Late payments may incur interest charges as permitted by applicable law.
Both parties agree to maintain the confidentiality of any proprietary or confidential information shared during the course of our business relationship. This obligation survives the termination of any service agreement.
To the maximum extent permitted by law, CX TECH shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services. Our total liability shall not exceed the amount paid by you for the specific service giving rise to the claim.
We provide our services on an as-is and as-available basis. While we strive to deliver high-quality services, we make no warranties, express or implied, regarding the services, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
You agree to indemnify and hold harmless CX TECH, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of our services, violation of these terms, or infringement of any third-party rights.
Either party may terminate the service relationship as specified in individual service agreements. We reserve the right to suspend or terminate access to our services for violation of these terms. Upon termination, all provisions that should survive termination will remain in effect.
These Terms of Service shall be governed by and construed in accordance with the laws of the People Republic of China. Any disputes arising from these terms shall be resolved through friendly negotiation first, and if negotiation fails, through the courts of competent jurisdiction in Yuncheng City, Shanxi Province.
We reserve the right to modify these Terms of Service at any time. Changes will be effective upon posting to our website. Your continued use of our services after any changes constitutes acceptance of the new terms.
If any provision of these Terms of Service is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
